JOINT WEBSITE AND JOINT NOTICE TO ALL CREDITORS OF MTN SERVICE PROVIDER (PTY) LTD AND MOBILE TELEPHONE NETWORKS (PTY) LTD
MTN Service Provider (Pty) Ltd ("MTN SP") and Mobile Telephone Networks (Pty) Ltd ("MTN SA") have agreed to amalgamate their respective businesses ("the Amalgamation"). Through the concluding of a formal agreement between MTN SP and MTN SA, the Amalgamation is to be implemented in terms of section 113 of the Companies Act, 71 of 2008 ("the Act"). The result of the Amalgamation is that the going concern operations and all agreements held by MTN SP will be transferred/assigned/ceded to MTN SA. This notice is given to all creditors of MTN SP and MTN SA, in terms of section 116(1)(a) of Act. Although it is not envisaged that the Amalgamation will lead to any prejudice to creditors, MTN SP and MTN SA hereby inform their respective creditors that, in terms of section 116(1)(b) of the Act, any creditor who is materially prejudiced by the Amalgamation is entitled to seek leave to apply to a court for a review of the Amalgamation. Should a creditor be materially prejudiced by the Amalgamation and wish to seek leave to apply to a court for a review of the Amalgamation, such application should be brought within 15 business days from the date this notice is published on this website, the publication date being 9 September 2013.
